Terms of Service.

1. Acceptance of Terms

By accessing or using the Semper Facilis PMA website and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our services. These Terms apply to all visitors, members, and others who access our services.

2. Membership

Access to Semper Facilis services requires an active annual membership ($49/year). Membership is personal and non-transferable. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Membership does not create an attorney-client relationship, financial advisory relationship, or any other regulated professional relationship.

3. Services

Semper Facilis provides document preparation assistance, administrative coordination, web design, SEO, AI automation, and related services as described on our website. All services are subject to separate service agreements presented at the time of ordering.

4. No Legal, Financial, or Investment Advice

Semper Facilis is not a law firm, accounting firm, or registered investment adviser. Nothing on our website or in our services constitutes legal advice, tax advice, financial advice, or investment advice. Document preparation services are administrative in nature. Members are strongly encouraged to consult licensed legal, tax, and financial professionals for guidance specific to their situation. Our referral directory provides access to independent licensed professionals for this purpose.

5. Family Office Services

Family office coordination services are administrative and organizational in nature only. All retainers are flat-dollar annual fees — never a percentage of assets under management, performance fees, or transaction-based fees. Semper Facilis does not provide investment management, trade execution, asset custody, or any regulated financial services. Coordinated advisors are independent professionals, not employees or agents of Semper Facilis.

6. Referral Network

Professionals listed in the Semper Facilis referral directory are independent service providers. Listing fees are flat advertising fees only — no per-referral commissions are paid or received. Semper Facilis makes no representations about the quality, accuracy, or suitability of any listed professional's services. Members engage listed professionals directly and at their own discretion.

7. AI Services

AI automation and solutions services involve the use of third-party AI models and platforms. Before any AI service order is activated, members must acknowledge our AI Data-Handling Disclosure. AI-generated content and workflows are provided for operational assistance only and do not constitute legal, financial, or professional advice.

8. Payment and Refunds

Membership fees are charged annually and are non-refundable after 7 days from the date of purchase. Service fees for project-based services (formation, web design, AI automation) are non-refundable once work has commenced. Recurring compliance (CaaS) subscriptions may be cancelled with 30 days' written notice; no partial-month refunds are issued.

9. Prohibited Uses

You may not use Semper Facilis services to: violate any law or regulation; infringe any intellectual property rights; transmit harmful, fraudulent, or deceptive content; attempt to gain unauthorized access to our systems; or engage in any activity that interferes with or disrupts our services.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Semper Facilis and its members, officers, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, even if advised of the possibility of such damages. Our total liability for any claim arising from these Terms shall not exceed the amount paid by you to Semper Facilis in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Semper Facilis PMA and its officers, members, and service providers from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your violation of these Terms or your use of our services.

12. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles. Any dispute shall be resolved exclusively in the courts located in Maricopa County, Arizona.

13. Changes to Terms

We may update these Terms at any time. We will notify members of material changes via email or through the member dashboard. Continued use of our services after the updated Terms take effect constitutes acceptance of the revised Terms.
