Private Membership Association Agreement

Effective Date: June 20, 2026

This Private Membership Association Agreement ("Agreement") is entered into between Semper Facilis, a Private Membership Association ("the Association"), and the undersigned individual or entity ("the Member").

1. Purpose of the Association

Semper Facilis is established as a Private Membership Association for the purpose of:

• Providing business development, web design, SEO, and AI automation services to its members
• Facilitating the exchange of knowledge, resources, and expertise among members
• Operating in a manner that prioritizes member privacy and the collective benefit of the membership
• Leveraging AI-powered technologies to deliver innovative solutions for member businesses

The Association exercises its rights to freely associate under the First and Fourteenth Amendments to the Constitution of the United States.

2. Membership Requirements

To become and remain a member of Semper Facilis, individuals must:

• Be at least 18 years of age
• Complete the membership registration process and provide accurate information
• Agree to this PMA Agreement, the Terms of Service, and the Privacy Policy
• Pay the annual membership fee of $49 USD
• Act in good faith and in accordance with the principles of the Association

3. Rights of Members

Upon acceptance into the Association, members shall have the right to:

• Access all services offered by the Association at member pricing (10% discount)
• Use the member dashboard and digital resources
• Receive priority support from the Association
• Participate in member-exclusive content, webinars, and events
• Have their personal and business information protected under the Association's privacy commitments
• Withdraw from the Association at any time without penalty beyond the current billing period

4. Responsibilities of Members

Members agree to:

• Provide truthful and accurate information during registration and throughout membership
• Maintain the confidentiality of their account credentials
• Use the Association's services for lawful purposes only
• Respect the intellectual property rights of the Association and other members
• Not share, redistribute, or resell member-exclusive content or resources
• Communicate respectfully with Association staff and fellow members

5. Privacy Commitment

The Association is committed to protecting the privacy of its members. Specifically:

• Member information will not be sold, rented, or shared with third parties for marketing purposes
• Data is collected only as necessary to provide services and improve the member experience
• All data transmissions are encrypted using industry-standard SSL/TLS protocols
• Members may request access to, correction of, or deletion of their personal data at any time
• The Association operates under the principles outlined in our Privacy Policy

6. Dispute Resolution

In the event of a dispute between a member and the Association:

1. Informal Resolution: The parties shall first attempt to resolve the dispute through direct communication and good-faith negotiation.
2. Mediation: If informal resolution fails, the parties agree to submit the dispute to non-binding mediation administered by a mutually agreed-upon mediator.
3. Arbitration: If mediation is unsuccessful, the dispute shall be resolved through binding arbitration in Maricopa County, Arizona, in accordance with the rules of the American Arbitration Association.

Members waive the right to participate in class-action lawsuits or class-wide arbitration against the Association.

7. Voluntary Nature of Membership

Membership in Semper Facilis is entirely voluntary. By signing this Agreement, the Member acknowledges that:

• They are joining the Association of their own free will
• They have read and understood this Agreement, the Terms of Service, and the Privacy Policy
• They are not being coerced or compelled to join
• They may terminate their membership at any time
• The Association may amend this Agreement with notice to members, and continued membership constitutes acceptance of amendments

8. Signatures
