Articles of Organization

We prepare the Articles of Organization for your selected state and coordinate the filing with the Secretary of State. You receive a filed and stamped copy with confirmation.

Operating Agreement

A standard single-member or multi-member LLC operating agreement covering member rights, voting, profit distribution, and dissolution procedures. Delivered as a ready-to-sign document.

EIN Obtainment

We obtain your Employer Identification Number (EIN) from the IRS on your behalf. Your EIN is required to open a business bank account, hire employees, and establish business credit.

Registered Agent (Year 1)

One year of registered agent service in your chosen state. Your RA receives service of process and state correspondence on your LLC's behalf and notifies you immediately.

Document Package Delivery

All formation documents are delivered to your Semper Facilis member document vault — Articles (stamped), operating agreement, EIN confirmation letter, and RA designation.

BOI Filing Coordination

We flag your BOI/FinCEN filing obligation and can coordinate your Beneficial Ownership Information report as a separate service ($149). Required for most covered entities within 90 days of formation.

Do I need an LLC or a Common Law Trust?

LLCs offer statutory protection and are universally recognized. Common Law Trusts offer different structural and privacy advantages. Many members hold both — a trust as the member of an LLC, or multiple LLCs held by a trust. Our intake process helps you identify the right structure for your goals.

If I live in Arizona, can I still form a Wyoming LLC?

Yes. You may form an LLC in any state regardless of where you live or operate. If you actively conduct business in Arizona using a Wyoming LLC, you will likely need to register as a foreign LLC in AZ (foreign qualification — additional cost). We'll flag this during intake.

What is a BOI report?

Under the Corporate Transparency Act, most LLCs and corporations must file a Beneficial Ownership Information report with FinCEN within 90 days of formation (or January 1, 2025 for entities formed before 2024). Failure to file can result in significant daily penalties. We offer BOI filing coordination as a $149 add-on.
