Most small businesses must file. The exemptions are narrower than most people expect.

When your report is due.
Existing entities had until January 1, 2025 to file their initial BOI report. If you have not yet filed, you are past the deadline — file immediately to minimize ongoing penalties. Daily civil penalties continue to accrue for each day the report is late.
90 days from formation date to file the initial BOI report. Example: entity formed June 15, 2024 → initial report due September 13, 2024.
30 days from formation date to file the initial BOI report. Time is tight — file immediately after Articles are confirmed.
Any change in beneficial owners (ownership transfer, new member, member departure) triggers an updated BOI report within 30 days. We recommend coordinating the update whenever ownership or management changes.
